What services do we provide?

We provide board advisory, governance & compliance support, and growth & transformation services — including Non-Executive Directors, fractional directors, virtual boardroom solutions, policy & risk management, exit & M&A planning, fundraising readiness, and leadership & succession coaching.

Who do we work with?

We work with SMEs, scale-ups, family businesses, investor-backed firms and organisations preparing for growth, fundraising or exit. We also support boards of larger enterprises that need specific, flexible expertise.

How do we engage with clients?

We start with a discovery call to understand your needs, then deliver a tailored proposal. Engagements can be one-off projects, short strategic sprints, or ongoing part-time advisory and board support.

What is a virtual boardroom and do we provide one?

A virtual boardroom is a secure digital workspace for sharing documents, running meetings, tracking decisions and managing compliance. Yes — we provide secure virtual boardroom solutions and help you adopt the platform and processes to use it effectively.

How secure are our systems?

We apply industry-standard security practices — encryption, strict access controls, audit trails and role-based permissions — to protect sensitive boardroom documents and communications. We also handle data in line with UK GDPR and follow recognised good practice, such as guidance from the National Cyber Security Centre.

Who is BoardroomUK?

BoardroomUK is a London-based board advisory, governance and growth consultancy founded in 2022. We help SMEs, scale-ups, family businesses and investor-backed firms access board-level expertise in a flexible, affordable way.

Do you only work with London businesses?

No. Our team is based in London, but we work with organisations across the UK. Much of our advisory and board support can be delivered remotely, and we travel for board meetings, strategy days and workshops where that adds value.

Which sectors do you have experience in?

We work across many sectors, including financial services and fintech, healthcare and life sciences, technology and SaaS, professional services, manufacturing, retail, family businesses and charities. Our Industries page explains the governance challenges we see in each.

How do I get started?

The first step is a free, no-obligation discovery call. You can book one through our contact page or by emailing [email protected], and we will arrange a time to talk through your board and your plans.

Is the initial consultation really free?

Yes. The discovery call is free and carries no obligation. It gives us both a chance to understand whether we are the right fit before any proposal or fees are discussed.

What is a fractional director?

A fractional director is an experienced executive, such as a CFO, COO or chief sales officer, who works with your business part-time, often for a set number of days each month. It gives you senior leadership without the cost and commitment of a full-time hire.

How does your non-executive director search work?

We agree a role profile with you, search our networks and the wider market, and present a shortlist of assessed candidates. We support you through interviews, referencing and appointment, and can help with induction once your new director is in post.

Can you help us prepare for fundraising or a sale?

Yes. Our fundraising readiness and exit planning services help you strengthen governance, reporting and documentation before you speak to investors or buyers. We can also set up and manage a virtual data room for due diligence.

Do you offer ESG advice?

Yes. We help boards build ESG roadmaps that are proportionate to their size and stage, focusing on the issues that matter most to their customers, investors and lenders. This includes setting priorities, assigning board oversight and planning how progress will be reported.

Does my private company need a board?

Every UK company must have at least one director, but a formal board with independent members is not a legal requirement for most private companies. Many growing businesses find that a well-structured board improves decision-making and builds investor confidence.

What is the difference between a non-executive director and an advisory board member?

A non-executive director is formally appointed to the board and shares the legal duties and responsibilities of a director. An advisory board member offers guidance and expertise but has no formal decision-making power or statutory directors' duties.

What duties do company directors have?

Directors of UK companies have statutory duties set out in the Companies Act 2006, including acting within their powers, promoting the success of the company under section 172, exercising independent judgement and reasonable care, and avoiding conflicts of interest. We help boards understand and evidence how they meet these duties.

Does the UK Corporate Governance Code apply to my business?

The UK Corporate Governance Code, published by the Financial Reporting Council, applies on a comply-or-explain basis to companies listed in the equity shares (commercial companies) category under the FCA's UK Listing Rules, which replaced the premium listing segment in 2024. Private companies are not bound by it, but many use it as a benchmark, and larger private companies may follow principles such as the Wates Principles.

How often should a board meet?

There is no fixed rule. Many SMEs and scale-ups find that meeting every month or every quarter works well, depending on the pace of change and the complexity of the business. What matters most is that meetings are well prepared, focused on decisions and properly minuted.

What is a board effectiveness review?

A board effectiveness review assesses how well your board is working, covering its composition, skills, processes, information and dynamics. It typically combines questionnaires, interviews and observation, and results in practical recommendations for improvement.

Can you help improve the diversity of our board?

Yes. Our board diversity and inclusion consulting helps you assess your current board, set realistic goals and widen the pool of candidates for future appointments. We focus on diversity of skills, background and perspective as well as demographic representation.

How much do your services cost?

We offer three monthly plans: Starter at £500 per month, Growth at £1,500 per month and Enterprise/Exit at £3,500 per month. One-off projects are usually priced as fixed fees agreed in advance, and all prices exclude VAT.

Is there a minimum contract term?

Terms depend on the type of engagement and are set out clearly in your proposal before you commit. Projects run for the agreed scope, while subscription and retained arrangements include a notice period that we agree with you upfront.

Can we change plans as our business grows?

Yes. You can move between subscription plans as your needs change, and plans can be combined with one-off projects such as a director search or governance review. We will review your support with you regularly to make sure it still fits.

What happens in the first 90 days of an engagement?

The first 90 days typically cover onboarding, a diagnostic of your current board and governance, a prioritised action plan and the start of delivery. At around day 90 we hold a review and agree the plan for the next quarter.

How do you measure the success of an engagement?

We agree success measures with you at the outset, such as completing deliverables on time, improving board meetings and reporting, or achieving readiness for investment. We review progress against those measures and ask for your direct feedback.

Will you sign a non-disclosure agreement?

Yes. We are happy to sign your NDA or provide our own before any detailed information is shared. Confidentiality obligations are also written into every engagement letter and into the agreements of everyone who works on client matters.

How do you handle personal data?

We process personal data in line with UK GDPR and the Data Protection Act 2018. We collect only what we need, share it on a need-to-know basis and keep it no longer than necessary. Our privacy policy explains your rights in more detail.

Who can access documents in a virtual data room?

Only the people you authorise. Access is controlled through role-based permissions, so you can decide who can view, download or upload each document, and audit trails show who accessed what and when.

What happens to our documents when an engagement ends?

At the end of an engagement we agree with you how documents will be returned, archived or securely deleted. For virtual data rooms, we can provide an archive of the data room contents before access is closed.
