Terms & Conditions

Last updated: 15 October 2026

These Terms & Conditions set out the rules for using the BoardroomUK website at boardroomuk.com and the terms on which we supply our board advisory, governance and growth services. By using our website or ordering our services, you agree to be bound by these terms.

Where we agree a separate written proposal, engagement letter or statement of work with you, that document will form part of our contract and, if there is any conflict, it will take priority over these terms. Nothing in these terms affects your statutory rights as a consumer.

1. About us and these terms

1.1 Who we are

The website boardroomuk.com is operated by BoardroomUK (“we”, “us”, “our”). Our postal address is Babarsari Sleman, No 23 Ruko Biru Kab. Sleman, London, United Kingdom. You can contact us by email at support@boardroomuk.com or by telephone on +44 824 – 2637 – 8823 or +44 813 – 3445 – 9349. Our registered company details are available on request.

1.2 Definitions

  • “You” means the person or organisation using our website or ordering our services.
  • “Consumer” means an individual acting wholly or mainly outside their trade, business, craft or profession.
  • “Business customer” means anyone who is not a consumer, including companies, partnerships, sole traders and individuals acting for business purposes.
  • “Services” means the advisory, governance, placement, software, consultancy and related services we provide.

1.3 Changes to these terms

We may update these terms from time to time. The version that applies to your order is the version in force when the order was placed. For ongoing subscription plans, we will give you at least 30 days’ notice of material changes, and you may cancel before the change takes effect.

2. Using our website

2.1 Access

Our website is free to use. We do not guarantee that it will always be available or uninterrupted, and we may suspend or restrict it for business or operational reasons.

2.2 Information on the website

The content on our website, including articles, guides and tools such as the governance scorecard and fractional cost calculator, is provided for general information only. It is not advice on which you should rely. Please read our Disclaimer for more information.

2.3 Your privacy

We use personal data in line with our Privacy Policy and Cookie Policy.

3. Accounts

You may create an account to place and track orders. When you do so, you must:

  • provide accurate, current and complete information;
  • keep your login details confidential and not share them with others;
  • tell us promptly if you believe your account has been accessed without authorisation;
  • be at least 18 years old and, if you act for an organisation, have authority to bind it.

You are responsible for activity on your account. We may suspend accounts that are misused or breach these terms, and you can close your account at any time.

4. Ordering services

4.1 Quotations and proposals

Following an enquiry or project brief, we may prepare a written quotation or proposal describing the scope, deliverables, timetable and fees. Unless stated otherwise, a quotation is valid for 30 days from its date and is an invitation for you to place an order, not an offer capable of acceptance.

4.2 Placing an order

You can place an order through our website checkout or by confirming a quotation in writing. Our checkout uses a “request an invoice” process: submitting an order asks us to provide the services and send you an invoice. We do not take card payments on our website.

4.3 Order acceptance

Your order is an offer to buy the services. A contract is formed only when we confirm acceptance by email or by issuing an invoice, whichever happens first. We may decline an order, for example if we are unable to provide the services, if there is a conflict of interest, if we cannot complete our client due diligence checks, or if there is an obvious error in the price or description. If we decline an order, we will tell you and you will not be charged.

4.4 Pricing

All prices are in pounds sterling (GBP). Unless stated otherwise, prices quoted to business customers are exclusive of VAT, which will be added where applicable at the prevailing rate. If you are a consumer, we will tell you the total price, including any VAT, before you are bound by the contract. Our current subscription prices are shown on our pricing page.

4.5 Payment terms

Unless otherwise agreed in writing, invoices are payable within 14 days of the invoice date by the payment method shown on the invoice. For certain projects we may ask for a deposit or for payment in stages, and this will be set out in the quotation.

If a business customer does not pay on time, we may charge interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998, and we may suspend services until payment is received after giving you notice. If you are a consumer and believe an invoice is incorrect, please contact us promptly so that we can resolve it.

5. Subscription plans

5.1 Plans available

We offer monthly advisory plans, currently named Starter, Growth and Enterprise. The features and monthly fee for each plan are described on our pricing page and in your order confirmation. Plans are billed monthly in advance unless we agree otherwise.

5.2 Plan term and renewal

Plans run on a rolling monthly basis from the start date in your order confirmation and continue until cancelled in line with this section. You can upgrade your plan at any time, and the new fee will apply from the next billing date unless we agree otherwise. Downgrades take effect from the billing date following the end of your notice period.

5.3 Cancelling a plan

Either of us can cancel a plan by giving at least 30 days’ written notice. Email support@boardroomuk.com to give notice. You will remain liable for fees covering the notice period, and services will continue during that period. This does not affect the 14-day cancellation right for consumers described in section 6.

5.4 Unused allowances

Unless your plan states otherwise, monthly allowances such as advisory hours or meetings do not roll over into later months and are not refundable if unused.

6. Consumer and business customers

6.1 Consumers: your right to cancel

If you are a consumer and you enter into a contract with us at a distance (for example, online or by email) or away from our business premises, you normally have a right to cancel under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. You can cancel within 14 days starting from the day after the contract is formed, without giving a reason.

If you ask us to start providing services during the 14-day cancellation period, you must pay a proportionate amount for the services provided up to the time you tell us you are cancelling. If the services have been fully performed within the cancellation period at your express request, and you acknowledged that you would lose your right to cancel once the services were fully performed, you will no longer have the right to cancel.

To cancel, tell us clearly by emailing support@boardroomuk.com or writing to our postal address. We will refund any amount due without undue delay and no later than 14 days after you tell us you are cancelling. See our Refund & Cancellation Policy for more detail.

6.2 Consumers: your statutory rights

Under the Consumer Rights Act 2015, services must be performed with reasonable care and skill, and any information we give you about the services that you take into account may be binding. If we do not meet these requirements, you may be entitled to ask us to repeat the service or, if that is not possible, to receive a price reduction. Nothing in these terms affects those rights.

6.3 Business customers

The consumer cancellation rights in section 6.1 do not apply to business customers. If you are a business customer, cancellation is governed by these terms and your proposal or engagement letter. All terms implied by statute or common law are excluded to the fullest extent permitted by law, except those that cannot lawfully be excluded.

7. Scope of our services

7.1 What we provide

We provide the board advisory, governance, placement and consultancy services described on our services pages and in your proposal.

7.2 What we do not provide

Unless we expressly agree otherwise in writing, our services do not include:

  • legal advice or reserved legal activities;
  • tax advice or the preparation of tax returns;
  • audit or assurance services;
  • regulated investment advice, arranging deals in investments or any other activity regulated by the Financial Conduct Authority;
  • insolvency advice.

Where you need any of these, please take advice from an appropriately qualified and regulated professional. We are not responsible for advice given by others.

7.3 Placements and introductions

Where we introduce or place a non-executive director, fractional director or adviser, any appointment is a decision for your board and shareholders. You remain responsible for your own due diligence, for formal appointment processes and for any filings required at Companies House. Individuals we introduce exercise their own independent judgement when acting as directors of your company.

7.4 Decisions remain yours

Our role is advisory. Decisions about your business remain the responsibility of you and your directors.

8. Your obligations as a client

To help us deliver the services, you agree to:

  • provide accurate, complete and timely information, documents and access to relevant people;
  • tell us promptly about any changes that may affect the services;
  • make decisions and give approvals within reasonable timescales;
  • obtain any consents needed for us to use information or materials you give us, including personal data of your staff or third parties;
  • comply with applicable laws, including data protection law, in your dealings with us.

We are not liable for delays caused by a failure on your part to meet these obligations.

9. Confidentiality

Each of us will keep confidential any confidential information disclosed by the other in connection with the services, use it only to perform or receive the services, and disclose it only to employees, associates, subcontractors and professional advisers who need to know it and who are bound by equivalent confidentiality obligations.

These obligations do not apply to information that is public through no fault of the receiving party, was already lawfully known to it, or must be disclosed by law or a regulator. Confidentiality obligations continue for five years after the end of our contract, or longer where a separate non-disclosure agreement says so.

10. Intellectual property

10.1 Our website and materials

We own, or are licensed to use, all intellectual property rights in our website and its content, including text, design, graphics, tools, templates and methodologies. You may view and print pages for your own reference. You must not copy, reproduce, republish or commercially exploit our content without our written permission, except as permitted by law.

10.2 Deliverables

Once you have paid in full, we grant you a non-exclusive, perpetual licence to use the reports, board packs, policies and other deliverables we create for you, for your internal business purposes. We retain ownership of our pre-existing materials, know-how, frameworks and templates, and we may reuse general knowledge and skills gained during the engagement, without disclosing your confidential information.

10.3 Your materials

You retain ownership of materials you provide to us. You grant us a licence to use them only as needed to deliver the services.

11. Acceptable use

When using our website, you must not:

  • use it in any way that breaches any applicable law or regulation, or is fraudulent;
  • attempt to gain unauthorised access to the website, its server or any connected database;
  • introduce malware or carry out attacks, scraping or excessive requests that impair the website;
  • submit false, misleading, defamatory or offensive information through our forms;
  • use the website to send unsolicited marketing or spam.

Breaching this section may be a criminal offence under the Computer Misuse Act 1990. We may report breaches to the relevant authorities and co-operate with them, and your right to use the website will end immediately.

12. Third-party links and services

Our website may link to third-party websites and resources, such as government guidance. These links are provided for information only. We have no control over their content and accept no responsibility for them or for any loss arising from your use of them. Third-party software we recommend, such as board portals or data rooms, may be subject to the provider’s own terms.

13. Limitation of liability

13.1 What we do not exclude

Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under English law. If you are a consumer, nothing in these terms limits your rights under the Consumer Rights Act 2015.

13.2 Consumers

If you are a consumer, we are responsible for loss or damage you suffer that is a foreseeable result of our breach of these terms or our failure to use reasonable care and skill. We are not responsible for loss or damage that is not foreseeable. We supply our services for business purposes, so we are not liable to consumers for loss of profit, loss of business, business interruption or loss of business opportunity.

13.3 Business customers

If you are a business customer, and subject to section 13.1:

  • we will not be liable for any loss of profits, revenue, business, goodwill or anticipated savings, or for any indirect or consequential loss;
  • we will not be liable for loss arising from decisions you make, information you provide, or advice given by third parties;
  • our total liability arising under or in connection with the contract, whether in contract, tort (including negligence), breach of statutory duty or otherwise, will not exceed the total fees paid by you under the relevant contract in the 12 months before the event giving rise to the claim.

13.4 Website use

To the extent permitted by law, we exclude all conditions, warranties and representations relating to our website and its content. We are not liable to business users for any loss arising from use of, or inability to use, our website, or from reliance on its content.

14. Indemnity

If you are a business customer, you will indemnify us against losses, costs, damages and expenses (including reasonable legal fees) arising from any claim by a third party that materials or information you provided to us infringe that third party’s rights, or arising from your breach of section 11 or of data protection law in connection with the services. This section does not apply to consumers.

15. Force majeure

Neither of us will be liable for any delay or failure to perform our obligations caused by events beyond our reasonable control, such as natural disasters, pandemic, war, government action or failure of utilities or telecommunications networks. The affected party will notify the other promptly and take reasonable steps to limit the effect. If the event continues for more than 60 days, either party may terminate the affected services by written notice.

16. Termination

16.1 Termination by either party

Either of us may terminate a contract immediately by written notice if the other:

  • commits a material breach that is not remedied within 14 days of being asked to do so;
  • becomes insolvent, enters administration or liquidation, or makes an arrangement with creditors.

16.2 Termination by us

We may terminate a contract by written notice if you fail to pay any invoice within 30 days of its due date, if continuing would create a conflict of interest, or if we reasonably believe that continuing would require us to act unlawfully or unethically.

16.3 Effect of termination

On termination, you must pay for services provided up to the termination date and any agreed expenses incurred. Sections that by their nature should survive termination, including confidentiality, intellectual property, limitation of liability and governing law, will continue to apply.

17. Complaints

If you are unhappy with our services, please tell us as soon as possible by emailing support@boardroomuk.com with the subject line “Complaint”. We will acknowledge your complaint within 5 working days and aim to provide a full response within 20 working days. If we need longer, we will explain why and give you a revised timescale. Raising a complaint does not affect your legal rights.

18. General

18.1 Transfer

We may transfer our rights and obligations under a contract to another organisation, and we will tell you if this happens. If you are a consumer, we will ensure the transfer does not adversely affect your rights. You may transfer your rights only with our written consent.

18.2 Entire agreement

For business customers, these terms and any proposal or engagement letter form the entire agreement between us.

18.3 Severability and waiver

If any provision is found to be invalid or unenforceable, the remaining provisions will continue in effect. Delay in enforcing a right is not a waiver.

18.4 Third-party rights

No one other than a party to the contract has any right to enforce its terms under the Contracts (Rights of Third Parties) Act 1999.

19. Governing law and jurisdiction

These terms and any dispute or claim arising out of or in connection with them, including non-contractual disputes, are governed by the law of England and Wales.

If you are a business customer, the courts of England and Wales have exclusive jurisdiction. If you are a consumer, you may bring proceedings in the courts of England and Wales, and if you live in Scotland or Northern Ireland you may also bring proceedings in your local courts.

20. Contact us

If you have any questions about these terms, please contact us at support@boardroomuk.com, call +44 824 – 2637 – 8823 or +44 813 – 3445 – 9349, or write to BoardroomUK, Babarsari Sleman, No 23 Ruko Biru Kab. Sleman, London, United Kingdom. You can also reach us through our contact page.
